The challenge

A private equity-backed portfolio company acquired a large divested business to expand its brand portfolio and geographic footprint. The target organization maintained rewards and benefits programs that were significantly more complex than those already operating within the portfolio company, creating substantial integration challenges.

The importance of day-one readiness

Several benefit programs fell outside the scope of existing transition services agreements, making continuity planning complex, but essential. The organization needed to ensure employees experienced minimal disruption while creating a path toward future integration.

WTW's approach

WTW supported pre-close and post-close activities, including due diligence, readiness assessments, benefit stand-up activities for selected countries, TSA transition planning and country-level integration analysis.

Our team also developed a long-term benefits integration roadmap and projected future costs to support decision-making.

Delivering continuity and integration insights

WTW established day-one benefits arrangements where required and created a comprehensive inventory of programs across countries. By comparing benefit offerings across portfolio companies, we helped leadership prioritize integration opportunities and evaluate future efficiencies.

Results and business impact

The organization successfully launched non-TSA benefit programs with minimal employee disruption and gained a structured framework for future integration planning. Senior HR and executive leadership used the analysis to establish priorities and support long-term decision-making.

Key outcomes

  • Comprehensive country-level due diligence
  • Successful day-one stand-up of non-TSA benefits programs
  • Country-by-country integration analysis
  • Cost projections to support decision-making
  • Long-term benefits integration roadmap
