FTSE 250 2022 AGM season update

Trends in executive remuneration and updates from AGM voting and proxy agencies

This report provides insights on executive compensation and AGM voting trends, based on the two-thirds of the FTSE 250 that had published their annual report and accounts by early June.

Although not a major policy renewal year – only 26% of companies have proposed new remuneration policies so far – the report examines pay developments in the context of rapidly rising inflation and companies reviewing the implementation of their pay structures in the post-COVID environment.

We are now well into the 2022 AGM season and 96% of our sample of companies have already held their AGMs. Median levels of support for remuneration resolutions have remained high, and we have seen a reduction in the number of companies receiving a “for” vote below 80%.

Most of the low votes have been due to shareholder challenge on areas such as increases in quantum, both fixed and variable pay, and concerns around pay-for-performance.
